Lagadishi Webdesign & Hosting | A registered trade name of Trupiaal

1. About These Terms

These Terms & Conditions apply exclusively to services offered and provided by Trupiaal under the registered trade name Lagadishi Webdesign & Hosting. They do not apply to products or services offered by Trupiaal under other trade names, unless expressly stated otherwise.

For readability, “Lagadishi” means Trupiaal when operating under the registered trade name Lagadishi Webdesign & Hosting.

By accepting a quotation, placing an order, purchasing a service, subscribing to a recurring service, or otherwise entering into an agreement for Lagadishi services, the Client agrees to these Terms & Conditions. Where the Client is a consumer, mandatory rights under applicable consumer law remain applicable and take precedence over conflicting provisions.

2. Definitions

Client means the person, business or organization purchasing or agreeing to purchase Lagadishi services. Consumer means a natural person acting primarily outside their trade, business or professional activity. Business Client means a Client acting in connection with a trade, business, profession or organization.

Agreement means the accepted quotation or order, applicable service description, these Terms, and any additional terms expressly made applicable. Recurring Service includes ongoing services such as hosting and maintenance.

3. Services

The exact scope, specifications, price and deliverables are determined by the applicable quotation, package, order confirmation or written agreement. Services not expressly included are not automatically included in the price.

4. Quotations & Formation of Agreements

Quotations are valid for the period specified in the quotation or, if no period is stated, thirty (30) days. An Agreement is formed when the Client accepts the quotation or order in writing or electronically and, where required, completes the applicable initial payment.

Lagadishi is not required to begin work until required acceptance, payment, information, content and access have been received. Project-specific quotation terms prevail over general provisions to the extent legally permitted. Additional service-specific terms may also apply.

5. Prices, VAT & Payment

Prices are communicated through the website, quotation, order process or invoice. Where required by consumer law, consumers will be shown the applicable total price, including VAT and mandatory charges, before entering into the Agreement. Business quotations may specify prices excluding VAT where appropriate.

Unless otherwise stated, website projects are invoiced 50% before commencement and 50% upon completion of the agreed project. Invoices are payable within fourteen (14) days unless another period is expressly stated. Final handover or release of applicable deliverables may be conditional upon full payment.

6. Client Responsibilities

The Client must provide accurate information, lawful content and materials, timely feedback and approvals, and the access reasonably necessary to perform the Agreement. The Client is responsible for ensuring supplied content, images, trademarks and other materials may lawfully be used.

7. Project Timelines & Client Delays

Timelines assume timely Client cooperation. Delays in content, access, feedback or approval, approved scope changes, third-party dependencies or technical complications may move the schedule. Unless expressly guaranteed in writing, delivery dates are estimates rather than absolute deadlines.

8. Revisions & Scope Changes

The number of included revision or correction rounds is determined by the applicable package, quotation or Agreement. Lagadishi does not provide unlimited revisions unless expressly agreed. Additional work may be separately quoted or charged at the applicable rate and, where practical, approved before performance.

9. Hosting Services

Hosting may use third-party infrastructure. Lagadishi uses reasonable efforts to provide reliable hosting but does not guarantee uninterrupted or error-free availability unless a specific service level is expressly agreed. Availability may be affected by maintenance, updates, security measures, networks, cyber incidents, third parties and circumstances outside Lagadishi’s reasonable control.

10. Website Maintenance

Website maintenance is preventive care, not unlimited support or development. Depending on the selected plan it may include updates, security monitoring, backups, health checks and minor corrective work. New pages, redesigns, new functionality, custom development, integrations, SEO campaigns, content creation, malware removal, hacked-site restoration and emergency recovery are not automatically included and may be quoted separately.

Maintenance services are additionally subject to the Website Maintenance Terms & Conditions.

11. Recurring Services, Billing Cycles & Initial Terms

The applicable billing cycle, initial term, price and renewal arrangement will be shown before purchase.

Unless otherwise stated: monthly recurring plans have a minimum initial term of three (3) months; quarterly plans have an initial three-month service period; annual plans have an initial twelve-month service period. Mandatory consumer rules concerning duration, renewal and cancellation take precedence.

12. Renewal & Cancellation of Recurring Services

After the applicable initial term, recurring services that continue for an indefinite period may be cancelled with a maximum notice period of one (1) month, unless a shorter period applies or another arrangement is legally permitted. Cancellation may be submitted through an available online cancellation method, client portal or in writing.

Cancellation does not eliminate amounts properly payable before the effective cancellation date. Fixed-term and annual renewal arrangements remain subject to mandatory consumer protections.

13. Consumer Cooling-Off & Withdrawal Rights

Consumers retain all mandatory rights under applicable Dutch and European consumer law. Where an eligible Agreement is concluded remotely, the Consumer will generally have a statutory fourteen (14) day withdrawal period, subject to applicable exceptions.

If a Consumer expressly requests performance during the withdrawal period, Lagadishi may begin in accordance with applicable requirements. If the Consumer later validly withdraws, a proportionate amount for services already supplied may be payable where permitted by law. Lagadishi will provide legally required information and an appropriate method for exercising applicable withdrawal rights.

14. Cancellation of Website Projects

If a Client cancels after work has commenced, Lagadishi may charge for work already performed and reasonable non-cancellable project costs or commitments. Any balance or refund will take account of project progress, scope, third-party commitments and applicable law. Mandatory Consumer rights remain unaffected.

15. Domain Registration, Renewal & Management

Lagadishi may register, renew and manage domains through third-party registrars. The Client must provide accurate registration information and pay registration and renewal fees on time. Lagadishi does not acquire ownership of a Client’s domain merely because it manages registration, billing or technical configuration.

If renewal payment is not received in time, continued registration cannot be guaranteed. An expired domain may interrupt website/email service, enter grace or redemption, incur recovery charges, or eventually become available to another party. Recovery charges may be invoiced separately.

16. Third-Party Services, Software & Licences

Lagadishi may rely on hosting, registrars, billing/client-management systems, payment providers, email providers, plugins, themes, APIs, security platforms and other third parties. Lagadishi may reasonably change suppliers where this does not unlawfully reduce an agreed service. Third-party licences, subscriptions and renewals are not included unless expressly stated.

17. Non-Payment & Suspension

If an invoice remains overdue after reasonable reminders, Lagadishi may, where legally permitted, suspend affected services. Continued non-payment may lead to termination subject to applicable notice and mandatory law. Consumer debt-collection rules will be followed where applicable.

18. Intellectual Property & Ownership

Ownership and usage rights are determined by the quotation and Agreement. Where the Client is to own completed custom deliverables, applicable rights transfer after full payment. Third-party plugins, themes, fonts, stock media, software, templates, APIs and platforms remain subject to their own licences.

19. Portfolio Use

Unless otherwise agreed in writing, Lagadishi may identify the Client as a customer and display publicly launched project work in its portfolio, website, social media or promotional materials. Confidential information, credentials, private systems and unpublished materials will not intentionally be disclosed.

20. Backups & Data

Where backups are included, Lagadishi uses reasonable efforts to maintain or facilitate the applicable backup process. No backup system can guarantee complete availability, integrity or successful restoration. Lagadishi cannot guarantee backups controlled entirely by external providers.

21. Security

Lagadishi uses reasonable measures appropriate to the services provided. No website, hosting environment or security system can be guaranteed immune from vulnerabilities, malware, unauthorized access, cyberattacks or data loss. Emergency recovery and hacked-site restoration are separate services unless expressly included.

22. Liability

Lagadishi is responsible for performing contractual obligations with reasonable care. To the extent permitted by applicable law, Lagadishi is not liable for indirect or consequential losses resulting from circumstances outside its reasonable control or third-party failures it could not reasonably prevent. Nothing excludes or restricts liability that cannot legally be excluded or limits mandatory Consumer rights.

23. Force Majeure

Lagadishi is not responsible for delay or failure caused by circumstances reasonably beyond its control, including major telecommunications or power failures, cyber incidents, natural disasters, government action, war, civil disturbance or major third-party infrastructure failures.

24. Changes to Services, Prices & Terms

Lagadishi may update services, packages and prices. Public price changes do not retrospectively change an accepted fixed-price project. Material changes affecting ongoing services will be communicated where required. Terms will not be applied retroactively in a manner that unlawfully removes existing Client rights.

25. Privacy & Cookies

Personal data is handled in accordance with the applicable Privacy Policy. Cookies and similar technologies are addressed in the Cookie Policy. Where Lagadishi processes Client-controlled personal data on behalf of a Client, additional data-processing terms may be required.

26. Complaints

Clients should contact Lagadishi as soon as reasonably possible if a service has not been provided as agreed. Complaints may be submitted to info@lagadishi.com and will be reviewed within a reasonable period. Mandatory Consumer complaint and remedy rights remain unaffected.

27. Governing Law & Disputes

These Terms and Agreements for Lagadishi services are governed by the laws of the Netherlands. Disputes may be submitted to the competent court in the Netherlands, subject to mandatory consumer jurisdiction and protections.

28. Business Information & Contact

These Terms apply only to services provided under Lagadishi Webdesign & Hosting and do not automatically apply to services provided by Trupiaal under its other registered trade names.
