Lagadishi Webdesign & Hosting | A registered trade name of Trupiaal

1. Scope & Applicability

These terms apply exclusively to website maintenance services provided by Trupiaal under the registered trade name Lagadishi Webdesign & Hosting. They supplement the general Lagadishi Terms & Conditions. If maintenance is purchased, both documents form part of the Agreement.

2. Purpose of Website Maintenance

Maintenance is preventive website care intended to support security, stability and technical condition. It is not unlimited support/development, a redesign service, an emergency-response service, or a guarantee against hacking, downtime or software failure. The selected plan/quotation determines the exact scope.

3. Services That May Be Included

Depending on plan, services may include WordPress core/plugin/theme updates, security monitoring, backup monitoring or management, health/stability checks, minor technical fixes and minor adjustments where specifically included. Not every item is included in every plan.

4. Fair Use & Minor Work

Where minor fixes, content updates or similar assistance are included, they are subject to reasonable fair use and applicable plan limits. Minor work is a small task that can reasonably be completed without substantial development, redesign, investigation or project planning. Repeated or accumulated requests may be treated as separate development work or require a higher plan.

5. Services Not Included

  • New pages or major redesigns
  • New functionality, booking, eCommerce, membership/LMS or integrations
  • Custom development, content creation, copywriting or SEO campaigns
  • Major layout/performance projects or migrations
  • Extensive troubleshooting, malware removal, hacked-site restoration or emergency recovery
  • Major database/server administration
  • Third-party licence fees or premium software purchases

6. Development vs. Maintenance

Maintenance and development are separate. Requests that change the website rather than maintain existing functionality may be classified and quoted as development.

7. Initial Website Assessment

Lagadishi may assess inherited, externally hosted, outdated, compromised or technically unclear websites before accepting maintenance. An initial health check, onboarding assessment, cleanup, repair, update or migration may be required and charged separately.

8. Existing Problems

Maintenance begins from the agreed start date and does not automatically make Lagadishi responsible for pre-existing malware, compromised accounts, outdated software, broken functionality, unsupported environments, missing backups, invalid licences, database corruption, previous development errors, misconfiguration or vulnerabilities.

9. Client Access Requirements

The Client must provide access reasonably required, potentially including WordPress admin, hosting, domain/DNS, backups, security systems, databases and relevant third-party accounts. Secure/delegated access is preferred. Lagadishi will not require disabling two-factor authentication merely for convenience.

10. Websites Hosted by Lagadishi

Lagadishi-managed hosting may provide greater visibility and control, improving maintenance efficiency and coordination. Hosting and maintenance nevertheless remain separate services unless expressly sold as a combined package.

11. External Hosting

External hosting is accepted subject to technical review and must provide a reasonably suitable environment, access, supported software/PHP, resources, backup capability, security controls and valid licences. Lagadishi cannot guarantee an external provider’s quality, availability, security, backups or support. Where external hosting prevents reliable maintenance, Lagadishi may limit work, recommend upgrades/migration, quote additional troubleshooting or suspend affected maintenance.

12. Backups

Where included, Lagadishi uses reasonable efforts to maintain, configure, monitor or facilitate backups. No backup system guarantees every backup is created, complete, uncorrupted, available, retained indefinitely or successfully restorable. External-provider backup integrity, retention and restoration cannot be guaranteed.

13. Updates & Compatibility

Updates can cause unexpected compatibility issues among WordPress, themes, plugins, servers and third-party systems. Lagadishi uses reasonable care but cannot guarantee third-party updates will never cause errors. Minor resulting issues may be handled within scope; major compatibility or replacement development may be separately quoted.

14. Third-Party Software & Licences

Clients remain responsible for third-party licence/subscription costs unless expressly included. Lagadishi does not absorb licence costs merely because maintenance is provided. Expired licences may affect functionality, updates or security.

15. Security Monitoring

Security monitoring uses reasonable measures to identify and reduce risk but does not guarantee a website cannot be hacked, infected, exploited, accessed without authorization or disrupted.

16. Malware, Hacking & Emergency Recovery

Malware removal, hacked-site recovery, emergency restoration, forensic investigation and major incident response are not standard maintenance unless expressly included. Lagadishi may assess an incident and propose an Emergency Recovery Project or other separately quoted work.

17. Response & Resolution Times

Maintenance does not include guaranteed immediate support or emergency response unless a specific service level is expressly agreed. Requests are handled within reasonable operational availability and according to the applicable plan. Response time is not the same as resolution time.

18. Client Responsibilities

The Client must maintain accurate contact information, provide access, keep required licences active, pay invoices on time, notify Lagadishi of relevant changes, avoid unsafe/conflicting changes, inform Lagadishi of material third-party development, and cooperate with reasonable security/technical recommendations.

19. Work by Other Developers or Providers

Clients may use other providers unless otherwise agreed. Lagadishi is not responsible for errors, vulnerabilities or conflicts introduced by third-party work. Investigation or repair caused by such changes may be quoted separately.

20. Recurring Term & Cancellation

Unless otherwise stated: monthly maintenance has a minimum initial term of three (3) months; quarterly has an initial three-month period; annual has an initial twelve-month period. After the applicable term, continuation and cancellation follow the general Lagadishi Terms. Mandatory consumer rights remain unaffected.

21. Payment & Suspension

If invoices remain overdue after reasonable reminders, maintenance may be suspended where legally permitted. Maintenance may also be suspended if required access is unavailable, the website presents a significant security risk, hosting prevents reasonable maintenance, continued maintenance becomes technically impractical, or the Client materially breaches the Agreement.

22. Excessive Maintenance Requirements

If a website repeatedly requires substantially more work than the selected plan reasonably includes, Lagadishi may recommend a higher plan, separate development, remediation, hosting migration, rebuilding or another appropriate arrangement. Maintenance will not silently become unlimited support.

23. Liability

Lagadishi performs maintenance with reasonable care. To the extent permitted by law, Lagadishi is not responsible for losses caused by circumstances outside its reasonable control, including external hosting, unsupported software, third-party providers or unauthorized modifications. Nothing excludes liability that cannot legally be excluded or mandatory Consumer rights.

24. Data Protection

Maintenance may require access to systems containing Client-controlled personal data. Where Trupiaal/Lagadishi processes such data on the Client’s behalf, Lagadishi may act as processor and an appropriate Data Processing Agreement may be required.

25. Changes to Maintenance Services

Lagadishi may reasonably update plans, processes or technical requirements. Changes will not unlawfully remove services already paid for during a fixed period. Material ongoing-service changes will be communicated where required.

26. Relationship With General Terms

These Maintenance Terms supplement the general Lagadishi Terms. A maintenance-specific provision prevails for maintenance to the extent legally permitted. The Client’s quotation/order may contain additional service-specific conditions. Mandatory law always takes precedence.
